The initial investigation stage is the time to identify a target that fits with your strategic plan. Brownlow Partners can assist in evaluating the target and the fit with your organization.

The next stage involves understanding the target business and negotiating the deal, which is the time to get into the nuts-and-bolts of the target. We can assist in investigating the tangible and intangible assets of the company, identifying the reported liabilities and potential hidden liabilities that may be assumed, and provide guidance in negotiating the price and structure of the purchase.

The pre-closing stage is the most common type of due diligence engagement and is generally completed after you and the vendor have signed the letter of intent. This is the time when we complete a detailed assessment of the books and records of the company to ensure the information provided by the vendor is accurate. We report to you any irregularities that are discovered, which allows you to choose to complete the deal, re-open the negotiations or walk away.

The post-closing stage is the time to ensure you received the assets you paid for and only assumed the liabilities you intended to assume. We review the closing financial statements and calculate any adjustments to the final purchase price per the closing documents.
